DEED OF GUARANTEE AND INDEMNITY

In favour of Value Timber Supplies Limited (trading as Value Building Supplies) and its successors and assigns

1. In consideration of Value Timber Supplies Limited (‘Value Timber Supplies”) at the request of the Guarantor providing credit and other  valuable consideration to the Customer, the Guarantor unconditionally and irrevocably guarantees to Value Timber Supplies the due and  punctual:

As a separate and continuing undertaking, the Guarantor unconditionally and irrevocably indemnifies Value Timber Supplies against all  liability or loss (including administration costs and other legal fees and expense on a solicitor and client basis) arising from, and any costs,  charges or expenses incurred in connection with, a breach by the Customer of any agreement with Value Timber Supplies. The Guarantor  acknowledges that it will not be necessary for Value Timber Supplies to incur expense before enforcing this right of indemnity.  
3. As between the Guarantor and Value Timber Supplies, the Guarantor is liable under this Deed as a sole and principal debtor and not as a  surety. The obligations under this Deed are by way of continuing security and are to remain in full force and effect until all of the Guaranteed  Debt has been paid in full and all of the Guaranteed Obligations have been fully satisfied.  
4. Any payment made to Value Timber Supplies under this Deed is to be made on the due date in immediately available freely transferrable  funds in the manner that Value Timber Supplies, by notice to the Guarantor, specifies from time to time. Each such payment is to be made  free of any restriction or condition and free and clear of and (except to the extent required by law) without any deduction or withholding for  tax, whether by way of set–off, counterclaim or otherwise.

Each Guarantor agrees its liability under this Deed is not affected by any matter, including (without limitation):  (a) The granting of time, forbearance or other concession by Value Timber Supplies to the Customer or any Guarantor;  (b) Anything done or omitted or neglected to be done by Value Timber Supplies in the exercise or non-exercise of its authorities, powers  and discretions;

The Guarantor agrees to indemnify Value Timber Supplies against any loss or liability Value Timber Supplies may suffer if for any reason  Value Timber Supplies is unable to recover from the Guarantor any amounts which are payable to Value Timber Supplies by the Customer,  including (without limitation) where:  

9. No amendment to this Deed will be effective unless it is in writing signed by each Guarantor and Value Timber Supplies.  10. No failure to exercise, and no delay in exercising, a right under this Deed by Value Timber Supplies will operate as a waiver of that right, nor  will a single or partial exercise of a right preclude another or further exercise of that right or the exercise of another right. No waiver of rights  under this Deed will be effective unless it is in writing signed by Value Timber Supplies.  
10. Value Timber Supplies may assign or transfer all or any of its rights or obligations under this Deed without the consent of the Guarantor.  12. The illegality, invalidity or unenforceability of a provision of this Deed under any law will not affect the legality, validity or enforceability of that  provision under another law or the legality, validity or enforceability of another provision.  
11. This Deed may be executed in counterparts, which together shall constitute a single instrument, and may also be executed by electronic  signature, and the parties agree that electronic copies of signatures shall be valid and binding as originals.
